By accessing or using The ADU Exchange LLC website, digital products, feasibility reports, tools, marketplace, or any services offered on or through this website (collectively, the “Services”), you agree to be bound by the following Terms of Service (“Terms”). If you do not agree, do not use this website.
1. ELIGIBILITY
You must be at least 18 years old and able to enter into a legally binding agreement to use our Services. By using the website, you represent and warrant that all information you provide is accurate and truthful.
2. DESCRIPTION OF SERVICES
The ADU Exchange provides informational, educational, and marketplace services including, but not limited to:
- Feasibility Reports (Tier 1, Tier 2, Tier 3)
- ADU Blueprint Marketplace (digital plans, designs, and architectural content)
- Trade Partner Directory / Trade Connect
- ADU Financing Information & Tools
- Educational content, training, guides, and online courses
- Referral introductions to Biss ADU Solutions Inc. for design-build services
- Digital downloads, calculators, templates, and online tools
The ADU Exchange LLC is not a law firm, engineering firm, architecture firm, or construction company, and does not provide legal, architectural, or engineering services.
3. NO PROFESSIONAL ADVICE
All feasibility reports, zoning summaries, ROI estimates, and property evaluations are informational only. They:
- Do NOT constitute legal advice
- Do NOT constitute engineering advice
- Do NOT guarantee permit approval or buildability
- Do NOT replace due diligence from licensed professionals
Before making decisions, you agree to consult with a licensed architect, engineer, attorney, surveyor, appraiser, or contractor.
4. FEASIBILITY REPORT DISCLAIMER
Feasibility reports at any tier ($49 / $499 / $1,999) are based on:
- Publicly available information
- Customer-provided information
- Preliminary zoning interpretations
- Non-survey parcel data
- Reasonable assumptions
We do not guarantee accuracy of municipal data, zoning information, GIS maps, parcel lines, setbacks, or interpretations of evolving regulations.
You understand and agree that:
- Tier 1 ($49) is a high-level, preliminary screening only.
- Tier 2 ($499) is a more detailed but still non-binding feasibility opinion.
Only a licensed survey, architectural plan set, engineer, or building department can determine final buildability.
5. DIGITAL PRODUCT TERMS
Digital downloads, plans, templates, feasibility reports, and educational materials purchased from The ADU Exchange are:
- Licensed to the buyer for personal use only
- Not to be resold, re-shared, or reprinted for commercial distribution
- Final sale (no refunds after delivered or downloaded)
Blueprints purchased through the Blueprint Marketplace are subject to the creator’s license, not The ADU Exchange LLC.
6. MARKETPLACE TERMS
The ADU Exchange provides a marketplace where third-party designers, architects, and creators may sell digital ADU plans. We:
- Do not guarantee any creator’s credentials
- Are not responsible for accuracy, code compliance, or suitability of any plans
- Do not provide warranties for third-party products
- Are not liable for conflicts, misunderstandings, or contractual disputes between buyers and creators
Buyers must consult licensed professionals before using any plan for construction.
7. TRADE CONNECT NETWORK
The ADU Exchange hosts a directory of independent contractors, vendors, and trade professionals. We:
- Do not endorse, guarantee, or validate any listed trade partner
- Are not responsible for pricing, workmanship, delays, or disputes
- Are not a party to any agreement between the homeowner and the trade partner
Users agree to perform their own due diligence.
8. REFERRAL RELATIONSHIP TO BISS ADU SOLUTIONS INC.
The ADU Exchange may provide a referral (“Easy Solution Button”) to Biss ADU Solutions Inc. for design-build ADU services.
Users understand that:
- The ADU Exchange LLC and Biss ADU Solutions Inc. are separate legal entities
- The ADU Exchange is not responsible for contracts, pricing, design, construction, or work quality performed by Biss ADU Solutions
- All build contracts are exclusively between the homeowner and Biss ADU Solutions
9. PAYMENT TERMS
By purchasing any Service, you agree to the stated price and terms.
- All purchases are final.
- No refunds on digital products, feasibility reports, or downloadable content.
- Chargebacks or disputes filed fraudulently may result in account suspension.
10. USER CONDUCT
You agree not to:
- Misuse, scrape, or reverse-engineer the site
- Send unauthorized marketing or spam
- Copy, replicate, or distribute proprietary content
- Misrepresent your identity or property information
- Attempt to bypass payment systems
Violation may result in removal or legal action.
11. INTELLECTUAL PROPERTY
All logos, designs, templates, branding, content, website design, and tools are owned by The ADU Exchange LLC unless otherwise stated. Users may not:
- Copy
- Reproduce
- Modify
- Sell
- Distribute
Without our explicit permission.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law, The ADU Exchange LLC is not liable for financial loss, delays, property damage, survey inaccuracies, permit denials, zoning changes, construction outcomes, errors in third-party plans, or misinterpretation of feasibility reports.
Maximum liability is limited to the amount paid for the product or service.
13. INDEMNIFICATION
You agree to indemnify and hold harmless The ADU Exchange LLC, its owners, officers, employees, licensors, and partners from any claims or damages arising from use of our website, reliance on reports, disputes with contractors or vendors, use of marketplace plans, or use of Trade Connect services.
14. MODIFICATIONS TO TERMS
We may update these Terms at any time. Continued use of the website means you accept the updated policy.
15. GOVERNING LAW
These Terms are governed by the laws of the State of Massachusetts . Any disputes must be resolved in Bristol County, MA (or applicable Massachusetts courts).
